Welcome to Sceneform ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and all related services provided by Sceneform (collectively, the "Services"). By using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Definitions
For the purposes of these Terms:
- "Account" means a unique user account created for accessing the Services.
- "User," "You," or "Your" means the individual or entity accessing or using the Services.
- "User Content" means any text, images, videos, or other materials that You upload, submit, or generate through the Services.
- "Persona" means a digital representation or AI-generated likeness created using the Services, based on uploaded images or text descriptions.
- "Biometric Data" means data derived from physical characteristics, including facial features, used to identify individuals.
- "Credits" means the units provided as part of certain subscription plans that can be used for AI video generation.
- "Applicable Law" means all international, federal, state, provincial, and local laws, rules, and regulations applicable to Your use of the Services.
2. Acceptance of Terms
2.1 Binding Agreement
By accessing or using the Services, You represent and warrant that You are at least the age of majority in Your jurisdiction, have the legal capacity to enter into a binding contract, and agree to abide by these Terms.
2.2 Modifications to Terms
We may revise these Terms at any time. If we make material changes, we will provide notice via email or through a prominent notice on the Services at least 10 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes acceptance of the new Terms.
2.3 Affirmative Acceptance
We may require You to affirmatively accept updated Terms (e.g., by clicking "I Agree") to ensure enforceability.
3. Accounts and Eligibility
3.1 Account Creation
You must provide accurate, current, and complete information when creating an Account. You are solely responsible for maintaining the confidentiality of Your account credentials and all activity that occurs under Your Account.
3.2 User Representations and Warranties
You represent and warrant that all information You provide to us is truthful and accurate, and that You have the necessary rights and permissions to use and submit the User Content You provide.
3.3 Minimum Age and Capacity
You must be of legal age and able to form a binding contract to use the Services. If You are using the Services on behalf of an entity, You represent and warrant that You have the authority to bind that entity.
3.4 Human Users Only
Accounts created or managed by automated means or non-human entities are prohibited.
3.5 Unauthorized Access
We are not liable for any losses arising from unauthorized access to Your Account. You agree to notify us immediately of any breach of security or unauthorized use of Your Account.
3.6 One Account Per User
Each user may maintain only one Account. Creating multiple accounts to circumvent restrictions, abuse promotions, or evade enforcement actions is prohibited and may result in termination of all associated accounts.
3.7 Account Reclamation
We reserve the right to reclaim usernames that are inactive, violate our policies, or infringe on trademarks. We may also reassign usernames at our discretion without liability to You.
4. Subscription, Credits, and Payment Terms
4.1 Subscription Fees
Certain features of the Services may require a subscription fee. By providing a payment method, You authorize us to charge the applicable subscription fees on a recurring basis, including any applicable taxes.
4.2 Credits
Some subscription plans include Credits for AI video generation. Credits must be used within the current billing cycle and expire if unused. Credits have no cash value, are non-transferable, and may only be used within Your active subscription period.
When You upgrade Your plan, any unused credits from Your previous plan will be forfeited, and You will receive the full credit allocation for Your new plan tier. This ensures You always receive the complete benefits of the plan You're paying for.
4.3 Plan Changes and Billing Cycles
When You upgrade to a higher-tier plan, we create a new subscription contract that begins immediately. This means:
- You will be charged the full monthly price for Your new plan tier
- Your billing date will shift to the date of the upgrade
- You will receive immediate access to all features and the full credit allocation of Your new tier
- Your next billing date will be one month from the upgrade date
Downgrades and cancellations will take effect at the end of Your current billing period to ensure You receive the full value of what You've already paid for.
4.4 Refunds
If You request a refund within 3 days of purchase and have created fewer than 3 videos, we will issue a refund and delete Your Account along with any created videos. This refund policy applies once per Account. For plan upgrades that create new billing cycles, the 3-day refund period applies from the date of the upgrade. Except as provided above, all fees and Credits are non-refundable.
4.5 Taxes and Duties
All fees are exclusive of any applicable taxes, levies, or duties. You are responsible for paying any such taxes associated with Your purchase of subscriptions.
4.6 Chargebacks and Payment Failures
In the event of a chargeback or payment failure, we may suspend or terminate Your Account and access to the Services until the issue is resolved. Chargebacks that are determined to be fraudulent may result in permanent account termination.
5. User Content and License
5.1 Ownership of User Content
You retain all ownership rights to Your User Content. We claim no ownership over it.
5.2 License to Company
By submitting or generating User Content through the Services, You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works, display, and distribute Your User Content for the sole purpose of providing and improving the Services.
5.3 AI-Generated Content Disclaimer
You acknowledge that AI-generated content, including Personas and their outputs, may contain inaccuracies, artifacts, or unintended results. The AI may not perfectly replicate source materials. You agree that:
- Your use of AI-generated content is at Your own risk
- We are not responsible for any reliance on, or actions taken based on, AI-generated outputs
- We make no guarantees regarding the accuracy, quality, or fitness for purpose of any AI-generated content
- You are solely responsible for reviewing and verifying AI outputs before use
5.4 User Representations Regarding Content
You represent and warrant that You have all necessary rights to submit or generate the User Content, and that such content does not infringe upon the rights of any third party or violate any Applicable Law.
5.5 AI Personas and Digital Likenesses
When creating Personas using the Services, You represent and warrant that:
- You have obtained explicit consent from any individual whose likeness appears in images You upload
- You have the legal right to use any images containing identifiable persons
- You will not create Personas of public figures, celebrities, or other individuals without proper authorization
- You will not use Personas to deceive, defraud, or mislead others about the identity of the person depicted
- You understand that Personas may not perfectly replicate the source images and may contain variations or inaccuracies
We reserve the right to remove any Persona that violates these Terms or that we reasonably believe infringes on another person's rights.
5.6 Biometric Data
By uploading images containing faces to create Personas, You acknowledge that facial features may be processed to generate AI models. You confirm that You have obtained any required consent for such processing under applicable biometric privacy laws. We do not sell Biometric Data to third parties.
5.7 Use of Content for AI Improvement
By using the Services, You grant us the right to use Your User Content, including Personas and generated outputs, to train, develop, and improve our AI models and related technology. This usage is subject to our Privacy Policy. If You do not consent to this use, You should not use the Services.
5.8 No Storage Obligation
We are not obligated to store, maintain, or provide copies of Your User Content. While we take reasonable measures to protect Your content, You are solely responsible for maintaining backups of any content You wish to preserve. We may impose limits on storage, file sizes, or processing capacity at any time.
5.9 Marketing and Promotional Use
By using the Services, You grant us permission to feature Your publicly shared content, Personas, or generated outputs in marketing materials, case studies, or promotional content. If You prefer Your content not be used for marketing, please contact us at [email protected].
6. Prohibited Activities
6.1 Compliance with Laws
You agree not to use the Services in violation of any Applicable Law or regulation.
6.2 Intellectual Property Infringement
You must not upload or distribute content that infringes any third-party intellectual property rights or violates any confidentiality, privacy, or publicity rights.
6.3 Harmful, Illegal, or Objectionable Content
You must not submit or distribute any content that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, involves minors in a sexual or exploitative manner, or is otherwise objectionable.
6.4 Security Violations
You must not compromise the security or integrity of the Services, other users' accounts, or any related systems or networks. Unauthorized access, credential sharing, reverse engineering, data scraping, and use of automated scripts are prohibited.
6.5 Spam and Abuse
You must not use the Services to send unsolicited messages, run automated queries disproportionately, or engage in activities that disrupt the normal operation of the Services.
6.6 Content Duplication and Unauthorized Use
You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our written permission.
6.7 Community Standards
You must comply with any additional community guidelines or content standards we publish. We reserve the right to remove content that violates these Terms or is deemed harmful to the community.
6.8 Persona Misuse
You must not:
- Create Personas of individuals without their consent
- Use Personas to impersonate others or create misleading content
- Generate Personas depicting minors
- Create Personas for harassment, defamation, or fraud
- Use Personas to create non-consensual intimate imagery
- Circumvent our content moderation systems
6.9 Competitive Use
You may not use the Services, any outputs generated through the Services, or any data obtained from the Services to develop, train, improve, or operate any product or service that competes with Sceneform. This includes using our AI outputs to train competing AI models or build similar content generation tools.
7. Intellectual Property Rights
7.1 Service Design and IP
We (and our licensors) own all rights, titles, and interests in and to the Services, including all intellectual property therein. You may not reproduce, distribute, modify, or create derivative works based on the Services without our express written permission.
7.2 Third-Party Infringement Claims (DMCA or Equivalent)
If You believe Your intellectual property rights have been infringed, please notify us at [[email protected]]. We may remove or disable access to infringing content and terminate repeat infringers' accounts in accordance with applicable intellectual property laws.
8. Third-Party Services and Links
8.1 External Services
The Services may contain links to third-party websites, services, or integrations. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at Your own risk and subject to their respective terms.
8.2 Third-Party AI Providers
Our Services rely on third-party AI models and infrastructure providers. We are not responsible for the availability, accuracy, or performance of these underlying services. Changes to third-party services may affect the functionality of our Services without prior notice.
8.3 Payment Processing
Payments are processed by third-party payment providers. By making a purchase, You agree to the terms and privacy policies of these payment processors. We do not store Your complete payment information on our servers.
9. Dispute Resolution, Governing Law, and Venue
9.1 Governing Law
These Terms and any dispute arising out of or related to them shall be governed by the laws of the jurisdiction in which the Company is located, without regard to its conflict of law provisions.
9.2 Jurisdiction and Venue
You agree that any claims or disputes shall be resolved exclusively in the courts located in the Company's jurisdiction. You waive any objection to jurisdiction and venue in such courts.
9.3 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration rather than in court, except that You may assert claims in small claims court if eligible. The arbitration shall be conducted under the rules of a recognized arbitration organization in the Company's jurisdiction.
9.4 Class Action and Jury Trial Waiver
You and Sceneform agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to a jury trial. If for any reason a claim proceeds in court rather than arbitration, You and we each waive the right to a jury trial.
9.5 Opt-Out Right
You may opt out of the arbitration and class action waiver provisions by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include Your name, Account email, and a clear statement that You wish to opt out of arbitration.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another
- Your violation of any Applicable Law
11. Disclaimers and No Warranties
11.1 As-Is Basis
The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
11.2 No Guarantees
We do not guarantee that the Services will meet Your requirements, be uninterrupted, timely, secure, error-free, or that errors will be corrected.
11.3 Disclaimer of Warranties
To the fullest extent permitted by Applicable Law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.4 Data Transmission
You acknowledge that data transmitted through the Services may not be secure and could be intercepted. You assume the risks associated with any transmission of information through the Services.
11.5 Beta Features and Experimental Services
From time to time, we may offer beta, preview, or experimental features. These features are provided "as is" without any warranties and may be modified, suspended, or discontinued at any time without notice. Your use of beta features is at Your own risk.
12. Limitation of Liability
12.1 No Indirect or Consequential Damages
To the fullest extent permitted by Applicable Law, the Company and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost data, or goodwill, arising out of or related to these Terms or Your use of the Services.
12.2 Cap on Liability
To the fullest extent permitted by Applicable Law, the aggregate liability of the Company for any claims arising under these Terms shall not exceed the greater of: (i) the amount You paid to us for the Services in the three (3) months preceding the event giving rise to the claim, or (ii) one hundred dollars ($100).
12.3 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, and in such jurisdictions, the Company's liability shall be limited to the fullest extent permitted by law.
13. Termination
13.1 Termination by You
You may cancel Your subscription at any time. Upon cancellation, You will have access to the Services until the end of Your current billing cycle.
13.2 Termination by Us
We may suspend or terminate Your Account if You violate these Terms or if Your conduct may harm the Company or others. We may also terminate Your access without cause upon reasonable notice, in which case we will refund any prepaid amounts for Services not yet rendered.
13.3 Effect of Termination
Upon termination, Your right to use the Services will immediately cease. We may delete Your User Content and Account data. If Your Account is terminated for cause, You may not create a new Account without our written permission.
13.4 Survival
Sections regarding ownership, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and any other clauses which by their nature should survive termination, shall survive the termination of these Terms.
14. Force Majeure
We shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, terrorism, war, riots, fire, floods, epidemic, governmental action, infrastructure failures, internet outages, unavailability of third-party AI models or APIs, or failures of our technology partners or service providers.
15. No Waiver
No waiver of any breach of these Terms shall be deemed a waiver of any subsequent breach. Failure by the Company to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
16. Severability
If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
17. Entire Agreement
These Terms (including any additional policies, guidelines, or terms referenced herein) constitute the entire agreement between You and the Company regarding Your use of the Services, superseding all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
18. Geographic Scope
The Services are operated from the United States. If You access the Services from outside the United States, You do so at Your own initiative and are responsible for compliance with local laws. We make no representation that the Services are appropriate or available for use in any particular location.
19. Changes to the Terms of Service
If we make changes to these Terms, we will update the "Last Updated" date at the top and, if material, provide at least 10 days' prior notice. Your continued use of the Services after such changes go into effect constitutes Your acceptance of the new Terms.
